– Corporate Governance

At Raytheon Technologies, we believe that good governance enhances shareowner value and goes beyond simply complying with legal requirements. It means grounding governance practices in a culture of integrity, accountability, transparency and the highest ethical standards. Our diverse Board of Directors sets the tone at the top for the company’s embrace of this approach as illustrated in the governance documents establishing our guiding policies and practices.

Board of Directors

The 14 members of the Raytheon Technologies’ Board of Directors have the skills and expertise essential for effective oversight in light of the company’s business requirements and strategy. They participate on five committees — Audit, Compensation, Finance, Governance and Public Policy, and Special Activities — to provide responsible oversight across the company. The members of the three key committees — Audit, Compensation and Governance and Public Policy — are all independent directors.

Ethics & Compliance

At Raytheon Technologies, we are inspired and guided by our values: Trust, Respect, Accountability, Collaboration and Innovation. By committing to a set of shared values, we also promote a more cohesive and supporting organization.

Our Code of Conduct
“Stronger Together,” our Code of Conduct, is intended to inspire, guide and enable our best performance — individually and collectively. By helping us identify potentially challenging situations, the Code promotes ethical decision making and conduct. The Code is not simply about avoiding bad outcomes; it is about how we do business. By setting standards and by guiding us in line with our values, the Code helps us to build a strong ethical culture and to achieve our business goals with integrity.

 – Environment, Health & Safety

Raytheon Technologies’ former companies had long-standing histories of excellence in Environment, Health & Safety (EH&S). Building on their best practices, we have created a set of EH&S principles, a management system and sustainability goals for the year 2025.

EH&S Principles

Raytheon Technologies will not be satisfied until its workplace is safe from hazards, its employees are injury-free, its products and services are safe and its commitment and record in protecting the natural environment are unmatched. We provide leadership and resources to improve our EH&S programs and performance continuously through innovative initiatives and a proactive safety culture. We promote employee participation and communication, and together we integrate environment, health and safety considerations into all aspects of our business.

We follow these principles because it is the right thing to do; it engenders pride among our employees, investors and other stakeholders; it enables us to meet customer needs and expectations; and it drives our global competitiveness.

EH&S Management System

The company established an EH&S Management System that organizes, relates and coordinates all elements of the EH&S programs into an efficient mechanism for continual compliance and improvement. The management system framework provides tools for identifying and systematically managing EH&S impacts associated with the company’s activities, products and services.

– ESG Information and Resources

The merger of Raytheon Company and United Technologies’ aerospace businesses created the world’s most advanced aerospace and defense systems provider – and a company that believes it has the responsibility to change the world for the better.

From improving the fuel efficiency and safety of commercial airline travel to building smarter defense systems to counter sophisticated security threats, we owe it to our industry, our customers and all end users of our technology to address these tough challenges.

This responsibility also extends far beyond our business operations. We are committed to dedicating our resources and our talent to help meet the needs of our communities and to build a better future together.

This page includes environmental, social and governance (ESG) information and disclosures that support our approach to sustainability.

SASB Disclosure

2020 marks our first disclosure aligning with the framework of the Sustainability Accounting Standards Board (SASB). It follows disclosure and accountability guidance for the aerospace and defense industry, which most closely aligns with the operations of Raytheon Technologies. Our expectation is that these disclosures will continue to mature with time.

CDP Climate Change Response

Raytheon Technologies is helping combat climate change by reducing its greenhouse gas (GHG) emissions, enhancing energy efficiency and optimizing our manufacturing processes. We have measured, tracked and publicly reported our GHGs for the last 15 years, and have been recognized by numerous organizations for our commitment and performance. We participate in the voluntary global climate disclosure system called CDP (formerly Carbon Disclosure Project), and respond to their annual climate change questionnaire. Our detailed response addresses issues of governance, climate strategy, climate risks and opportunities, greenhouse gas emissions, accounting methodologies and goals. It also addresses many of the disclosure elements of the Task Force on Climate-Related Financial Disclosures (TCFD).

Environment, Health and Safety

Raytheon Technologies’ legacy companies each had longstanding histories of excellence as leaders in EH&S management, and as a merged company we’ve renewed that commitment. Building on best practices, we have created a new set of EH&S principles, a management system and sustainability goals for the year 2025.

Social Responsibility

Social responsibility drives the investments we make in our people and the diverse and united workplace we build. Through transformative investments, we are committed to dedicating resources and talent to help meet the needs of our communities and to build a better future together.
